SEALED BID PROCEDURES ******************************************* Dear Prospective Bidder:
The Keenan Auction Company appreciates your interest in the inventory being offered for sale by sealed bid.
If you would like to submit a sealed bid, the following procedures will apply:
Please print and complete the sealed bid form, which must be sealed in an envelope and labeled as follows:
SEALED BID - (your name) A deposit of 10% (ten percent) of your bid amount, in CASH or CERTIFIED U.S. FUNDS made payable to the Keenan Auction Company must accompany your sealed bid. Place the deposit in the same envelope as your sealed bid.
Mail or hand deliver the envelope to the Keenan Auction Company, One Runway Road, South Portland, Maine 04106. You may bring your sealed bid to the bid-opening site at 90 Community Drive in Sanford, ME on the day of the Bid Opening. All Sealed Bids must be received by Thursday, March 13, 2008 at 1PM.
SUBMISSION OF BIDS: All bids must be received by auctioneer no later than Thursday, March 13, 2008 at 1PM. Bids mailed to auctioneer's office at One Runway Rd. in So. Portland, ME must be received by 5PM on Wednesday, March 12, 2008. You may bring your sealed bid to the bid-opening site at 90 Community Drive in Sanford, ME. Bid opening will be conducted on Thursday, March 13, 2008 at 1PM. Unaccepted bid deposits will be returned via U.S. Mail on Monday, March 17, 2008.
TERMS: Kennebunk Savings Bank, the secured party, and Keenan Auction Company reserve the right, in their sole discretion, to demand that any bidder supply Kennebunk Savings Bank with a letter of credit or other collateral security securing the bidder's obligations to purchase any item or items sold at the auction. In the event that a demand is made for a letter of credit or other collateral security and a bidder fails to supply a letter of credit or collateral security satisfactory to Kennebunk and Keenan Auction Company, and their respective counsel, such bidder shall not be qualified to bid at the auction and shall not be permitted to bid at the auction.
A 10% Deposit in CASH, or Certified US Funds made payable to the Keenan Auction Company must accompany your sealed bid form. The balance of the accepted bid will be due and payable on or before Friday, March 14, 2008 at 3:00PM in CASH or CERTIFIED U.S. FUNDS. All bids subject to confirmation of Secured Party.
Bidding and acknowledgment will be by sealed bid only. Please complete the required sealed bid form. Once you become a winning bidder, title passes (UCC) and you are responsible for your own merchandise. PLEASE WATCH YOUR MERCHANDISE AFTER YOU HAVE BECOME THE WINNING BIDDER. AUCTIONEER IS NOT RESPONSIBLE FOR LOST OR STOLEN ITEMS.
SALES TAX: 5% Maine sales tax on all items. Dealers or exempt agencies must provide us with a copy of their annual resale certificate with the clerk at time of registration. NO EXCEPTIONS. Out-of-state residents are subject to Maine sales tax.
REMOVAL OF MERCHANDISE: Items may be removed after complete payment has been made. Complete payment must be received by Friday, March 14, 2008 at 3PM. Removal day of sale until 4PM. Additional Dates: Friday, March 14, 2008 from 8AM to 4PM & Monday, February 18, 2008 from 8AM to 4PM. All items must be removed by 4PM on Monday, February 18, 2008.
While descriptions are believed to be correct, the Auctioneer and the Seller make no warranties or guarantees, expressed or implied as to the genuineness, authenticity of, or defects in any lot, and will not be held responsible for advertising discrepancies or inaccuracies. Purchaser acknowledges that purchaser has had the opportunity to inspect the lots and that everything is sold on an "AS IS", "WHERE IS" basis except as expressly made in writing. No warranties are made as to the merchantability of any item or their fitness for any purpose.
Auctioneer and Seller do not guarantee the accuracy or completeness of the information contained in the sealed bid inventory(s). Purchasers should verify and inspect desired items prior to bidding.
Purchaser does hereby indemnify and hold harmless Auctioneer and Seller from any and all damages and claims of any type whatsoever, caused during the sale or arising out of the sale, or by the removal of the items purchased.
If any dispute arises between two or more bidders, the Auctioneer at his sole option may put up the lot again for sale at once and resell to the highest bidder.
The Auctioneer and seller reserve the right to bid and to reject any and all bids. The Auctioneer reserves the right to group one or more lots into one or more selling lots and to add to or delete from lots at Auctioneer's sole discretion. All bids subject to confirmation of seller.
In the event the Purchaser fails to pay the whole of the purchase price within the time set forth by the Seller, and/or fails to comply with any of the Terms and Conditions of Sale, the Seller may retain and/or recover the deposit specified as liquidated damages, and in addition thereto, can be resold at public or private sale without further notice. Any deficiency resulting from such resale shall be paid to the Seller by such resale and enforcement of the obligation there under. Buyer agrees to pay any and all charges and expenses incurred by reason of any breach of the Terms and Conditions of Sale, including without limitation reasonable attorney's fees.
PLEASE NOTE: You have signed a written binding contract agreeing to the Terms and Conditions of Sale, and understand that any bid you make falls under the Maine Auction Law, Title II, Section 2-328 of the Uniform Commercial Code, and the Statute of Frauds.
